Companies House Identity Verification: What Directors and PSCs Need to Know

What Is Companies House Identity Verification?

Companies House identity verification is a process designed to confirm that an individual is genuinely the person they claim to be. It forms part of wider reforms intended to improve the accuracy and reliability of the UK company register.

After successful verification, you receive a unique Companies House personal code. This code is used to connect your verified identity with the company roles you hold.

Why Has Companies House Introduced Identity Verification?

The purpose of the new requirement is to make it harder for people to use false identities or create and control companies for fraudulent purposes. Companies House wants the register to provide more reliable information about the people who set up, run, own and control UK companies.

Identity verification can help to:

·        reduce the risk of identity fraud;

·        improve the accuracy of information held at Companies House;

·        make it more difficult to use companies for unlawful purposes;

·        increase transparency around company ownership and control; and

·        give businesses and the public greater confidence in the company register.

In practical terms, it gives Companies House greater assurance that the individuals listed on the register are real people and are connected to the roles they claim to hold.

Who Needs to Complete Identity Verification?

The requirement is particularly important for company directors and People with Significant Control (PSCs).

Company directors: New directors must verify their identity when they incorporate a company or are appointed to an existing company. Existing directors are being brought into the requirement during the transition period and generally need to confirm their verification when the company files its next confirmation statement.

People with Significant Control (PSCs): PSCs must also verify their identity and provide their Companies House personal code. A PSC is an individual who has significant ownership or control over a company. The exact timing depends on the person's circumstances and Companies House registration date.

When Do I Need to Verify My Identity?

There is no single verification deadline that applies to every director and PSC.

The legal requirement started on 18 November 2025. During the 12-month transition period, Companies House is introducing the requirement in stages.

For existing directors, the verification requirement is generally linked to the company's next confirmation statement. New directors need to verify as part of incorporation or appointment.

For PSCs, there is a specific 14-day period for providing the personal code and verification statement. The dates of that period depend on factors such as whether the PSC was already registered before 18 November 2025 and whether the PSC is also a director of the company.

This is why it is important to check your own Companies House record and due date rather than assuming that 18 November 2025 was your personal deadline.

What Happens If You Miss the Verification Requirement?

If you have not completed the required steps by your applicable deadline, you should deal with the matter promptly. Companies House has stated that failing to comply with mandatory identity verification requirements can have legal consequences.

For example, it can be unlawful for a director to act as a director without completing the required identity verification, while PSCs who do not comply may also commit an offence. Companies House can also take enforcement action in cases of non-compliance.

If you think you have missed your deadline, do not simply wait for your next filing. Check your position and take the appropriate steps as soon as possible.

What Do I Need to Do Once My Identity Is Verified?

After successful verification, you receive your Companies House personal code. Depending on your role, you will need to provide the code and the required verification information to Companies House within the relevant timeframe.

Keep your personal code safe and make sure the details connected to your company role are correct. If you are a director of more than one company or also a PSC, check the requirements that apply to each role.

Why Should I Deal With Verification Early?

Leaving identity verification until the last minute can create unnecessary pressure, particularly if you have problems with your documents, your identity information or your Companies House records.

Completing the process early gives you time to resolve issues and understand what you need to provide. It can also help you avoid discovering a compliance problem when you are already dealing with another important company filing.
